AGREEMENT BETWEEN USER AND JERPAT, LLC
The network of Web Sites (collectively, the “JERPAT, LLC Web Sites”) operated by The JERPAT, LLC Company or its affiliates or subsidiaries (“JERPAT, LLC”), is comprised of various Web sites and Web pages. The JERPAT, LLC Web Sites are offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Your use of the JERPAT, LLC Web Sites constitutes your agreement to all such terms, conditions, and notices. Your use of a particular website included within the JERPAT, LLC Web Sites network may also be subject to additional terms outlined elsewhere on that website. Additionally, the JERPAT, LLC Web Sites may themselves contain additional terms that govern particular features or offers (for example, special offers or chat areas). In the event that any of the terms, conditions, and notices contained herein conflict with the Additional Terms or other terms and guidelines contained within any particular JERPAT, LLC website, then these terms shall control.

PLEASE READ THE FOLLOWING TERMS OF USE AND DISCLAIMERS CAREFULLY BEFORE UTILZING THIS SITE.
 
Membership Terms of Service
This subscription agreement (“agreement”) is a legal and binding agreement between User/Subscriber, and JERPAT, LLC. Please read this agreement carefully prior to using JERPAT, LLC’s membership (the “services”). By registering for the services, you are consenting to become a party to this agreement and agreeing to be bound by the terms and conditions herein. If you do not accept and agree to all the terms and conditions of this agreement, please discontinue the registration process.

MEMBERSHIP PAYMENT OBLIGATION AND CREDIT CARD AUTHORIZATION
The Subscriber is responsible for paying periodic subscription fees as agreed at the time of enrollment. All listed fees are in U.S. dollars.

Subscriber hereby authorizes JERPAT, LLC to charge the Subscriber’s credit card (or other approved facility) provided to pay for the ongoing cost of subscription. Payment for the appropriate services will be made by automatic debit to the Subscriber’s credit card (or other approved facility). Subscribers will be automatically renewed for a term equal to the original term upon expiration of the then-current term at a price equal to the current regular, nonpromotional price, and continually thereafter, unless the Subscriber terminates the subscription online in advance of the renewal date pursuant to the process set forth below.
Subscriber acknowledges and agrees that the authorization to charge Subscriber’s credit card for services shall automatically transfer to any successors or assigns of Service for substantially similar services at the same website. Subscriber may not assign or transfer his or her subscription to any other person or entity. You must be at least 18 years old (or have the permission of a credit card holder who is) to order subscriptions online.

Payment must be made by a major credit card accepted by JERPAT,LLC, check, money order, or PayPal. Cash will not be accepted. The billing period ends each month on the anniversary of your activation date (“Billing Date”). If JERPAT, LLC does not receive payment from the credit card issuer or its agent, you agree to pay all amounts due upon demand by JERPAT, LLC. Your card issuer agreement governs your use of your designated card in connection with the Service, and you must refer to that agreement and not this Agreement to determine your rights and liabilities as a cardholder. You, and not JERPAT, LLC, are responsible for paying any amounts billed to your credit card by a third party that were not authorized by you.

JERPAT, LLC reserves the right, at any time, to change its fees and billing methods, including the addition of supplemental fees or separate charges for content, or services provided by JERPAT, LLC. JERPAT, LLC may additionally provide notice of billing changes via email.

MEMBERHSIP CANCELLATION OF YOUR SUBSCRIPTION
You may terminate your membership at any time. When you terminate your membership, your account will not be automatically renewed and your access will be terminated on the expiration date of your paid term.

You acknowledge that JERPAT, LLC, in its sole discretion, may terminate your ID, password, account (or any part thereof), or use of the Service for any reason, including, without limitation, if JERPAT, LLC believes that you have violated or acted inconsistently with the letter or spirit of JERPAT, LLC’s. JERPAT, LLC may also in its sole discretion and at any time discontinue providing the Service, or any part thereof, with or without notice. You agree that any termination of your access to the Service under any provision of this Agreement may be effected without prior notice, and acknowledge and agree that JERPAT, LLC may immediately deactivate or delete your account and/or bar any further access to the Service. Further, you agree that JERPAT, LLC shall not be liable to you or any third party for any termination of your access to the Service, nor are you entitled to a refund.
 
MEMBERHSIP TRIAL MEMBERSHIPS
JERPAT, LLC occasionally offers promotional trial memberships to its Services at special discounted prices. Subscribers who sign up for such trial memberships will be automatically renewed at the posted subscription rate at the end of the trial period, unless the Subscriber cancels before the end of the trial.

MEMBERHSIP SUBSCRIBER INFORMATION
You agree to provide true, accurate, current, and complete information about yourself as prompted by the Service registration process. Once you subscribe to the Service, you shall receive a password and an account. You are solely and entirely responsible for maintaining the confidentiality of your password. Furthermore, you are solely and entirely responsible for any and all activities that occur under your account. Subscriber must promptly inform JERPAT, LLC of any of the following: changes in the expiration date of any credit card used in connection with the service; changes in home or billing address; and apparent breaches of security, such as loss, theft, or unauthorized disclosure or use of an ID or password. Until JERPAT, LLC is notified by email of a breach in security, the Subscriber will remain liable for any unauthorized use of Services.

MEMBERHSIP ACCESS
Subscribers are responsible for providing all personal computer and communications equipment necessary to gain access to the Service. Access to and use of Services is through a combination of an ID and a password. Each Subscriber must keep his or her password strictly confidential. JERPAT, LLC will not release passwords for any reason, except as may be specifically required by law or court order. Unauthorized access to Service is a breach of this Agreement and a violation of law, and may be cause for immediate suspension or termination of your membership.

MEMBERHSIP WARRANTY
No warranty is made by JERPAT, LLC regarding any information, services, or products provided through or in connection with premium services, and JERPAT, LLC hereby expressly disclaims any and all warranties, including without limitation: any warranties as to the availability, accuracy, or content of information, products, or services; or any warranties of merchantability or fitness for a particular purpose. Some states/provinces do not allow the exclusion of implied warranties, so the above exclusion may not apply to you.

The subscriber hereby warrants and represents that he or she is in all respects is qualified and competent to enter into this agreement.

MEMBERHSIP LIMITATIONS OF LIABILITY
You hereby agree that we will not be liable for indirect, special, or consequential damages or any loss of revenue, profits, or data arising in connection with this agreement or the service, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this agreement and the service will not exceed the total fees paid by you under this agreement.

MEMBERHSIP USE RESTRICTION
The material on JERPAT, LLC websites is for the private, noncommercial enjoyment of Members only. Any other use is strictly prohibited. JERPAT, LLC spends a great deal of time and money to obtain the information appearing on its websites. Subscribers agree that they will not copy, publish, or in any way make available publicly any news, pictures, interviews, features, or any other information from JERPAT, LLC websites, without express written permission from JERPAT, LLC. Subscribers agree that, should they do so, JERPAT, LLC reserves the right to cancel their subscription immediately without refund. Additionally, reuse of copyrighted information (pictures, interviews, features, videos, audio, etc.) will be prosecuted to the fullest extent of the law.

MEMBERHSIP MODIFICATIONS
This agreement is subject to change by JERPAT, LLC at any time. We may modify any of the terms and conditions contained in this Agreement at any time in our sole discretion. The updates and all changes will be posted at this page. If any modification is unacceptable to you, you agree that your only recourse is to terminate this Agreement. Your continued use of the Service following our posting of a change notice or new agreement on JERPAT, LLC will constitute your binding acceptance of the change.

MEMBERHSIP NOTICES
Notices by JERPAT, LLC to Subscribers may be given by means of electronic messages or by a general posting on the service. Notices by Subscribers may be given by electronic messages.

SITE TERMS
These terms and conditions are applicable to you upon your accessing the Site and/or completing the registration or shopping process. These terms and conditions, or any of them, may be modified or terminated by JERPAT, LLC without notice at any time for any reason. The provisions relating to Copyrights and Trademarks, Disclaimer, Claims, Limitation of Liability, Indemnification, Applicable Laws, Arbitration and General, shall survive any termination.

USE OF SITE
Unless otherwise specified, the JERPAT, LLC Web Sites are for your personal & business growth & development and noncommercial use. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products or services obtained from the JERPAT, LLC Web Sites.

You may display and, subject to any expressly stated restrictions or limitations relating to specific material, electronically copy, download and print hard copy portions of the material from the different areas of the Site solely for your own noncommercial use, or to place an order with JERPAT, LLC or to purchase JERPAT, LLC products. Any other use of materials on this Site, including but not limited to the modification, reproduction, distribution, republication, display or transmission of the content of this Site, without prior written permission of JERPAT, LLC is strictly prohibited.

Harassment in any manner or form on the Site or any of the JERPAT, LLC Websites, including via e-mail and chat or by obscene or abusive language is strictly forbidden. Impersonation of others, including a JERPAT, LLC team member, host, or representative or other members or visitors on the Site is prohibited. You may not upload to, distribute, or otherwise publish through the Site any content which is libelous, defamatory, obscene, threatening, invasive of privacy or publicity rights, abusive, illegal, or otherwise objectionable, or which may constitute or encourage a criminal offense, violate the rights of any party or otherwise give rise to liability or violate any law. You may not upload commercial content on the Site or use the Site to solicit others to join or become members of any other commercial online service or other organization.

REFUNDS
Unless otherwise noted, JERPAT, LLC reserves the right to issue refunds at our discretion. All Membership Programs are non-refundable, unless otherwise granted in written notice.

TYPOGRAPHICAL ERRORS
In the event a JERPAT, LLC product or service is listed at an incorrect price due to typographical error or error in pricing information received from our partners, JERPAT, LLC shall have the right to refuse or cancel any orders placed for product or service listed at the incorrect price,  whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is canceled, JERPAT, LLC shall issue a credit to your credit card account in the amount of the incorrect price.

USER PARTICIPATION
JERPAT, LLC does not and cannot review all communications and materials posted to or created by users accessing the Site and is not in any manner responsible for the content of these communications and materials. You acknowledge that by providing you with the ability to view and distribute user generated content on the Site, JERPAT, LLC is merely acting as a passive conduit for such distribution and is not undertaking any obligation or liability relating to any contents or activities on the Site. However, JERPAT, LLC reserves the right to block or remove communications or materials that it determines to be abusive, defamatory, obscene, fraudulent, deceptive, misleading, in violation of an intellectual property right of another, violates any law or regulation, or is offensive or otherwise unacceptable to JERPAT, LLC at its sole discretion. Note that any personally identifiable information you may post or transmit will be treated by JERPAT, LLC in accordance with JERPAT, LLC’s Privacy Statement.

USER INFORMATION
Except for any personally identifiable information we may collect from you under the guidelines established in our Privacy Statement, any material, information or other communication you transmit, upload or post to this Site (“Communications”) will be considered non-confidential and non-proprietary. JERPAT, LLC will have no obligations with respect to the Communications. JERPAT, LLC and its designees will be free to copy, disclose, distribute, incorporate and otherwise use the Communications and all data, images, sounds, text, and other things embodied therein for any and all commercial or noncommercial purposes.

USER DISCUSSION/FORUMS/LISTS
JERPAT, LLC may, but is not obligated to, monitor or review any areas on the Site where users transmit or post Communications or communicate solely with each other.

JERPAT, LLC will have no liability related to the content of any such Communications, whether or not arising under the laws of copyright, trademarks, libel, privacy, obscenity, or otherwise.

THIRD-PARTY LINKS
In an attempt to provide increased value to our visitors, this Site may contain links to other sites on the Internet that are owned and operated by third party vendors and other third parties (the “External Sites”). However, even if the third party is affiliated with JERPAT, LLC, JERPAT, LLC has no control over these linked sites, all of which have separate privacy and data collection practices, independent of JERPAT, LLC. JERPAT, LLC has no responsibility or liability for these independent policies or actions and is not responsible for the privacy practices or the content of such web sites. These linked sites are only for your convenience and therefore you access them at your own risk. Links do not imply that JERPAT, LLC sponsors, endorses, is affiliated with or associated with, or has been legally authorized to use any trademark, trade name, service mark, design, logo, symbol or other copyrighted materials displayed on or accessible through such External Sites.

JERPAT, LLC seeks to protect the integrity of its Site and the links placed upon it and therefore requests any feedback on not only its own Site, but for sites it links to as well (including if a specific link does not work or the content contradicts the mission and vision of JERPAT, LLC).

JERPAT, LLC does not represent or warrant that the functions contained in the site will be uninterrupted or error-free, that defects will be corrected, or that this site or the server that makes the site available are free of viruses or other harmful components.

LIMITATION OF LIABILITY
In no event shall JERPAT, LLC be liable for any direct, indirect, special, punitive, incidental, exemplary or consequential, damages, or any damages whatsoever, even if JERPAT, LLC has been previously advised of the possibility of such damages, whether in an action under contract, negligence, or any other theory, arising out of or in connection with the use, inability to use, or performance of the information, services, products, and materials available from this site.

COPYRIGHTS AND TRADEMARKS
The entire content included in this Site, including but not limited to text, design, graphics, interfaces, or code and the selection and arrangements thereof is copyrighted as a collective work under the United States and other copyright laws, and is the property of JERPAT, LLC.

JERPAT, LLC respects the intellectual property of others, and we ask our users and visitors to do the same. JERPAT, LLC will process and investigate notices of alleged infringement and will take appropriate actions under the Digital Millennium Copyright Act (“DMCA”) and other applicable intellectual property laws. Upon receipt of notices complying with the DMCA, JERPAT, LLC will act to remove or disable access to any material found to be infringing or found to be the subject of infringing activity and will act to remove or disable access to any reference or link to material or activity that is found to be infringing.

Pursuant to Title 17, United States Code, Section 512(c)(2), notifications of claimed copyright infringement should be sent via the website’s contact form. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide JERPAT, LLC the following information. Please be advised that to be effective, the Notification must include ALL of the following:

1. A description of the copyrighted work that you claim has been infringed;
2. A description of where the material that you claim is infringing is located on the Site;
3. Your address, telephone number, and email address and all other information reasonably sufficient to permit JERPAT, LLC to contact you;

INDEMNIFICATION
You agree to indemnify, defend, and hold harmless JERPAT, LLC, its officers, directors, employees, agents, licensors and suppliers (collectively the “Provider”) from and against all losses, expenses, damages and costs, including reasonable attorneys’ fees, resulting from any violation of these terms and conditions or any activity related to your Internet account (including negligent or wrongful conduct), by you or any other person accessing the Site using your Internet account.

APPLICABLE LAWS
Your use of this Site shall be governed in all respects by the laws of the state of Colorado, U.S.A., without regard to choice of law provisions, and not by the 1980 U.N. Convention on contracts for the international sale of goods. You agree that jurisdiction over and venue in any legal proceeding directly or indirectly arising out of or relating to this Site (including but not limited to the purchase of JERPAT, LLC products) shall be in the state or federal courts located in Arapahoe County, CO. Any cause of action or claim you may have with respect to the Site (including but not limited to the purchase of JERPAT, LLC products) must be commenced within one (1) year after the claim or cause of action arises.

JERPAT, LLC’s failure to insist upon or enforce strict performance of any provision of these terms and conditions shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any of these terms and conditions. JERPAT, LLC may assign its rights and duties under this Agreement to any party at any time without notice to you.

MODIFICATION OF THESE TERMS OF USE
JERPAT, LLC reserves the right to change the terms, conditions, and notices under which the JERPAT, LLC Web Sites are offered, including but not limited to the charges associated with the use of the JERPAT, LLC Web Sites. You are responsible for regularly reviewing these terms and conditions. You should visit this page from time to time to review the then-current Terms because they are binding on you. Certain provisions of these Terms may be superseded by expressly designated legal notices or terms located on particular pages at this Site.
